1. Definitions In this agreement, unless the context otherwise requires: "Customer" refers to those person(s) who wish to access the Service subject to and on the terms and conditions of this agreement. "Content" means the information made available to the Customer through the Service; "Saturn Portfolio Management Limited" means Saturn Portfolio Management Limited Limited. "Saturn Portfolio Management Limited " means the online information service known as Saturn Portfolio Management Limited located at the Saturn Portfolio Limited World Wide Web site which Saturn Portfolio Management Limited has developed and is the proprietor of; "Service" means all or any of the applications contained on Broadview Financial Management Limited.

2. Application and variation of these terms I. The terms and conditions set out in this agreement are the terms on which Saturn Portfolio Management Limited provides the Service. Saturn Portfolio Management Limited may at any time, in its sole discretion, amend, vary or modify the terms and conditions.

II. Saturn Portfolio Management Limited may give notice on Saturn Portfolio Management Limited of any modification to the terms and conditions but it is the Customer's responsibility to check for any such modification each time the Customer uses the service.

III. Modifications to the terms and conditions will be effective immediately and any subsequent use by the Customer of the Service will constitute an acceptance of the modifications.

3. Provision of Service I. In accordance with the terms and conditions of this agreement, Saturn Portfolio Management Limited shall provide the Customer with the Service by such means as Saturn Portfolio Management Limited determines.

II. As the Service provided to the Customer relies on factors outside the control of Broadview Financial Management Limited, Saturn Portfolio Management Limited does not guarantee the Service to be fault free.

III. Saturn Portfolio Management Limited may without notice suspend any Service or disconnect or deny the Customer access to any Service;

a. during any technical failure, modification or maintenance involved in the Service provided that Saturn Portfolio Management Limited will use reasonable endeavours to procure the resumption of the Services as soon as reasonably practicable;

b. if the Customer fails to comply with any agreement with Saturn Portfolio Management Limited including, but not necessarily limited to, failure to pay moneys due until the breach (if capable of remedy) is remedied; or

c. if the Customer does, or allows to be done, anything which in Saturn Portfolio Management Limited opinion may have the effect of jeopardising the operation of any Service.

IV. Saturn Portfolio Management Limited may make improvements and/or changes to the Services or Contents at any time without notice.

V. Saturn Portfolio Management Limited shall provide the Customer with all identification and log-in information required for connection to the service.

4. Access to the Service I. The Customer agrees to provide the telephone line, modem, computer, hardware, software and all other equipment required to gain access to the Service. II. The Customer is responsible for maintaining the secrecy and confidentiality of all identification and log-in information required by the Customer to access the Service. III. The Customer agrees not to disclose to any other person, corporation, entity or organisation any identification or log-in information, whether in use or not, relating to the Service. IV. The Customer is liable for any charges resulting from the use of the Service accessed through the Customer's identification or log-in information whether authorised by the Customer or not. Disclosure or loss of identification or log-in information that results in the misuse of the Service is the Customer's responsibility and any such occurrences should be immediately communicated to Broadview Financial Management Limited.

5. Use of the Service I. The customer agrees to comply with all directions pertaining to the access and use of the Service granted to the Customer by Saturn Portfolio Management Limited. II. The Customer agrees that in accessing and using the Service, it will only use software that it is legally entitled to use and such use will not infringe any third party's intellectual property rights. III. The Customer agrees that the Service is provided by Saturn Portfolio Management Limited to the Customer for the Customer's personal use unless Saturn Portfolio Management Limited expressly agrees otherwise. The Customer shall not sell, lease, furnish or otherwise permit or provide access to the Service to any other person and shall not reproduce, retransmit, redistribute, disseminate, sell, publish, broadcast or circulate any Content to any other person. IV. The Customer acknowledges and agrees that all and any intellectual property rights (including without limitation copyright, trademark rights and patent rights) in the Content remain the property ofSaturn Portfolio Management Limited. V. The Customer may download or copy reasonable amounts of Content for personal use but unless Saturn Portfolio Management Limited expressly agrees otherwise shall not copy, save, or archive significant portions of the Content without the prior written consent of Saturn Portfolio Management Limited. VI. The Customer shall not, in any event, modify Content or create any derivative works without the prior written consent of Saturn Portfolio Management Limited.

6. Disclaimer of Warranty I. Saturn Portfolio Management Limited, its related bodies corporate and their respective directors, officers, employees and agents do not warrant the accuracy of any Content and save for any liability which cannot be excluded, Saturn Portfolio Management Limited disclaims all responsibility for any loss or damage which may be suffered by any person directly or indirectly through any person's dealings with Saturn Portfolio Management Limited or by use of the Service whether that loss or damage is caused by any fault or negligence on the part of Saturn Portfolio Management Limited or otherwise. II. The Service may contain, or be linked to, advice, statements and opinions of third parties, information providers or content providers. Saturn Portfolio Management Limited does not warrant the accuracy, timeliness, reliability or completeness of any advice, statements and opinions contained in the Content or on any linked site. Reliance on any such advice, statements and opinions is at the Customer's own risk. III. The Customer acknowledges the Content contains general securities advice only, which is not intended for any particular customer. The Customer also acknowledges that in preparing the Content, Saturn Portfolio Management Limited has not taken into account any particular Customer's investment objectives, financial situation or particular needs. Accordingly, before acting on any advice contained in the Content, the Customer should contact their adviser to consider whether the advice is appropriate in light of that customer's particular investment needs.

7. Indemnity I. The Customer agrees to fully indemnify and hold Saturn Portfolio Management Limited harmless against all and any loss, costs, expenses, demands or liability (including legal costs on a full indemnity basis), actions, proceedings and liabilities, whether direct or indirect arising from or in connection with a claim by a third party against Saturn Portfolio Management Limited arising from a breach of this agreement by the Customer. II. Except in relation to liability for personal injury, Saturn Portfolio Management Limited shall be under no liability to the customer in respect of any loss or damage (including consequential loss or damage) which may be suffered or incurred or which may arise directly or indirectly in respect of use of the Service by the Customer or in respect of a failure or omission, whether arising from Saturn Portfolio Management Limited negligence or otherwise, on the part of Saturn Portfolio Management Limited to comply with its obligations under this agreement.

8. Termination I. Without prejudice to any other rights Saturn Portfolio Management Limited may have under this Agreement or at law or in equity, Saturn Portfolio Management Limited may terminate this Agreement at any time by giving seven (7) days notice in writing to the Customer. II. If notice is given to the customer pursuant to clause 8.I, Saturn Portfolio Management Limited may, in addition to terminating the Agreement, be regarded as being released from any obligations under this agreement.

9. Assignment The Customer cannot assign its rights under this agreement without the prior written consent of Saturn Portfolio Management Limited Ltd.

10. Governing Law The laws of New Zealand govern this Agreement and the parties irrevocably and unconditionally submit to the exclusive jurisdiction of the Courts of New Zealand.
